Terms of Service

1. Eligibility

You must be at least 13 years old to use the Service. By creating an account you represent that you are 13 or older and that any information you provide is accurate. We may refuse service, close accounts, or remove content at any time if we have reason to believe you are under 13 or have otherwise violated these Terms.

2. Your Account

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us at support@phade.app if you believe your account has been compromised. We use Clerk to authenticate users; your use of Clerk is also governed by Clerk's own terms and privacy policy.

3. Not a Gambling Service

Phade is a social picks and entertainment platform. No real money is ever deposited, withdrawn, wagered, or won on the Service. All budgets, wagers, winnings, and standings displayed in the Service are play-money records maintained for entertainment only. You may not use the Service to place real-money bets, to collect real-money side pots arranged outside the Service, or in any way that would cause Phade to be treated as a gambling operator under the laws of any jurisdiction.

4. Your Content

You retain ownership of the content you submit to the Service (picks, contest configurations, league descriptions, chat messages, avatars, and so on). You grant Phade a worldwide, non-exclusive, royalty-free license to host, display, distribute, and operate that content within the Service and for the purpose of running and promoting the Service.

5. Prohibited Conduct

When you use the Service, you agree not to:

• violate any law or regulation or infringe the rights of any third party;
• post harassing, threatening, hateful, sexually explicit, or otherwise harmful content, or content involving minors;
• impersonate any person or organization, or misrepresent your affiliation with any person or organization;
• attempt to access the Service by any means other than the interfaces we provide, scrape or bulk-download data, or probe the Service for security vulnerabilities without prior written permission;
• use the Service to send spam, distribute malware, or engage in any fraudulent activity;
• organize real-money wagers through the Service or use the Service to settle real-money bets arranged elsewhere.

6. Intellectual Property

The Service, including all software, design, text, graphics, and other original content, is owned by Phade or its licensors and is protected by United States and international copyright, trademark, and other intellectual-property laws. Team names, league names, logos, and related marks displayed within the Service are the property of their respective owners and are used for identification purposes only. See our Trademark Notice for details.

7. Third-Party Data

Scores, schedules, betting lines, and related sports data shown in the Service are sourced from third parties (including The Odds API and ESPN) and are provided for informational and entertainment use only. Phade does not guarantee the accuracy, completeness, or timeliness of any such data, and we are not liable for errors in third-party data or for downtime of third-party providers.

8. Termination

You may stop using the Service and delete your account at any time from Profile › Account › Delete my account. Account deletion is immediate and permanent and cannot be undone. We may suspend or terminate your account at our discretion if we believe you have violated these Terms or engaged in conduct harmful to other users or to the Service.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF DATA. PHADE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, PHADE AND ITS OFFICERS, MEMBERS, EMPLOYEES, AGENTS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE. IN NO EVENT WILL PHADE'S AGGREGATE LIABILITY FOR ANY CLAIM RELATED TO THE SERVICE EXCEED ONE HUNDRED U.S. DOLLARS ($100) OR THE AMOUNT YOU PAID PHADE IN THE PRECEDING TWELVE MONTHS, WHICHEVER IS GREATER.

11. Indemnification

You agree to defend, indemnify, and hold harmless Phade and its officers, members, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the Service, your content, or your violation of these Terms.

12. Governing Law and Disputes

These Terms are governed by the laws of the State of New Jersey, United States, without regard to its conflict-of-laws rules. Any dispute arising out of or related to these Terms or the Service will be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, held in the State of New Jersey. Each party waives the right to participate in a class action or class-wide arbitration. Notwithstanding the foregoing, either party may bring an individual action in small-claims court, and either party may seek injunctive relief in a court of competent jurisdiction in New Jersey for infringement or misuse of its intellectual property.

13. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page. If the change is material, we will notify you in the app or by email. Your continued use of the Service after the changes take effect means you accept the updated Terms.
